1. Introduction and Acceptance

Welcome to Setup101. These Terms of Service ("Terms") constitute a legally binding agreement between you and Setup101 Ltd. (for users outside the United States) or Setup101 Inc. (for users in the United States) (collectively, "Setup101," "we," "us," or "our").

These Terms govern your access to and use of the Setup101 platform, including our website at setup101.io, mobile applications, APIs, and all related services, features, content, and functionality (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. About Setup101

2.1 Platform Description

Setup101 is a marketplace platform that connects content creators ("Creators") with brands, advertisers, and sponsors ("Sponsors") for sponsored content and advertising opportunities. Creators showcase their setups, workspaces, and equipment, while Sponsors can book advertising slots to feature their products within Creator content.

2.2 Setup101 as an Intermediary

IMPORTANT: Setup101 acts solely as an intermediary platform that facilitates connections between Creators and Sponsors. We are not a party to any agreement, transaction, or arrangement between Creators and Sponsors.

Setup101:

Provides the technology and infrastructure for the marketplace
Facilitates discovery, communication, and payment processing
Does not control, endorse, or guarantee any Creator content, Sponsor products, or services
Is not responsible for the quality, safety, legality, or delivery of any goods or services
Does not employ Creators or act as an agent for either party

Any contractual relationship formed through the Platform is solely between the Creator and Sponsor.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use the Platform, you must:

Be at least 13 years of age
If under 18, have permission from a parent or legal guardian
Have the legal capacity to enter into binding contracts
Not be prohibited from using the Platform under applicable laws
Not have been previously suspended or removed from the Platform

3.2 Account Registration

You must create an account to access certain features. When registering, you agree to:

Provide accurate, current, and complete information
Maintain and update your information as needed
Keep your login credentials secure and confidential
Not share your account or allow others to access it
Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

3.3 Account Types

Creator Accounts: For individuals or entities who create and share setup content and wish to monetize through sponsored placements.

Sponsor Accounts: For businesses, brands, or individuals who wish to advertise products or services through Creator content.

Standard Accounts: For users who wish to browse, save, and engage with content without monetization features.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

Setup101 offers various subscription plans with different features, capabilities, and pricing ("Plans"). Current Plans and pricing are displayed on our website and within the Platform.

4.2 Right to Modify Pricing

WE RESERVE THE RIGHT TO MODIFY, ADJUST, OR CHANGE SUBSCRIPTION PRICING, FEES, AND PLAN FEATURES AT ANY TIME, AT OUR SOLE DISCRETION.

When we make pricing changes:

We will provide reasonable notice (typically 30 days) before changes take effect
Changes will apply at the start of your next billing cycle
You may cancel your subscription before the new pricing takes effect
Continued use of the Platform after pricing changes constitutes acceptance

4.3 Fee Structure

Setup101 may charge fees for various services, including but not limited to:

Monthly or annual subscription fees
Transaction fees on sponsored content deals (percentage of transaction value)
Payment processing fees
Premium feature access
Promotional placement fees

All applicable fees are disclosed before you complete a transaction.

4.4 Free Trials and Promotions

We may offer free trials or promotional pricing at our discretion. Upon expiration of any trial or promotional period, standard pricing will apply unless you cancel before the trial ends.

5. Payments and Billing

5.1 Payment Methods

You agree to provide a valid payment method for any paid services. We accept major credit cards, debit cards, and other payment methods as displayed on the Platform.

5.2 Billing and Charges

By providing a payment method, you authorize us to charge:

Subscription fees on a recurring basis (monthly or annually)
Transaction fees as they occur
Any applicable taxes

Charges are non-refundable except as expressly stated in these Terms or required by law.

5.3 Payment Processing

All payments are processed through third-party payment processors (such as Stripe). Setup101 does not store complete payment card information. Your use of payment services is subject to the payment processor's terms and privacy policy.

5.4 Failed Payments

If a payment fails, we may:

Retry the charge using your payment method on file
Suspend or limit access to paid features
Terminate your subscription after reasonable notice

You are responsible for ensuring your payment information is current and valid.

5.5 Taxes

You are responsible for all applicable taxes associated with your use of the Platform. Prices may or may not include taxes; applicable taxes will be shown at checkout.

6. Creator and Sponsor Transactions

6.1 Marketplace Transactions

The Platform enables Creators to offer sponsored content opportunities ("Slots") and Sponsors to book these opportunities. When a booking is confirmed:

A binding agreement is formed between the Creator and Sponsor
Setup101 facilitates payment processing
Setup101 is not a party to this agreement

6.2 Creator Obligations

Creators who participate in the marketplace agree to:

Accurately describe their setups, audience, and offerings
Fulfill sponsored content obligations as agreed with Sponsors
Comply with all applicable advertising disclosure requirements
Deliver content that meets the agreed specifications
Respond to Sponsor communications in a timely manner
Not engage in fraudulent or deceptive practices

6.3 Sponsor Obligations

Sponsors who participate in the marketplace agree to:

Provide accurate information about their products and brand
Pay for booked slots in accordance with the agreed terms
Comply with all applicable advertising laws and regulations
Not request content that violates laws or these Terms
Respect Creator creative discretion within agreed parameters

6.4 Pricing and Slot Availability

Creators set their own pricing for sponsored slots. Setup101 does not control, and is not responsible for, Creator pricing decisions. Prices may vary and are subject to change at the Creator's discretion.

6.5 Transaction Fees

Setup101 charges a transaction fee (currently displayed in your account settings) on completed transactions. This fee is deducted from payments before funds are released to Creators.

6.6 Payouts to Creators

Creator earnings are paid out according to the payout schedule displayed in your account. Payouts are subject to:

Minimum payout thresholds
Verification requirements
Applicable tax withholding
Payment processor terms

Setup101 is not responsible for delays caused by payment processors or banking institutions.

7. Disputes Between Users

7.1 Platform Not Responsible for Disputes

SETUP101 IS NOT RESPONSIBLE FOR AND WILL NOT BE INVOLVED IN RESOLVING DISPUTES BETWEEN CREATORS AND SPONSORS REGARDING:

Quality or delivery of sponsored content
Payment disputes between parties
Non-performance of agreed obligations
Dissatisfaction with content or services
Breach of agreements between parties
Intellectual property disputes
Any other matters arising from transactions

7.2 Dispute Resolution Between Users

Creators and Sponsors agree to first attempt to resolve any disputes directly with each other. If you have a dispute with another user:

Contact the other party directly through the Platform
Attempt good-faith negotiation
Document all communications and agreements

7.3 Limited Platform Involvement

While Setup101 does not arbitrate disputes, we may, at our sole discretion:

Provide transaction records or communications (subject to privacy obligations)
Temporarily suspend accounts pending resolution of serious allegations
Permanently ban users who engage in fraudulent or abusive behavior
Withhold disputed funds pending resolution (in extreme circumstances)

We have no obligation to intervene in any dispute.

7.4 Chargebacks and Payment Disputes

If a Sponsor initiates a chargeback or payment dispute:

The Creator may be required to provide documentation
Funds may be held pending resolution
Setup101 may deduct disputed amounts from Creator accounts
Repeated chargebacks may result in account suspension

7.5 Release of Claims

By using the Platform, you release Setup101, its officers, directors, employees, and agents from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes between you and other users.

8. User Content

8.1 Your Content

You retain ownership of content you create and post on the Platform ("Your Content"). By posting content, you grant Setup101 a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content in connection with operating and promoting the Platform.

8.2 Content Standards

Your Content must not:

Infringe on intellectual property rights of others
Contain defamatory, obscene, or offensive material
Violate any laws or regulations
Include malware or harmful code
Contain false or misleading information
Violate our Community Guidelines

8.3 Content Removal

We may remove or disable access to any content that we believe, in our sole discretion, violates these Terms or our policies. We are not obligated to monitor all content but reserve the right to do so.

9. Intellectual Property

9.1 Setup101 Intellectual Property

The Platform, including its design, features, functionality, software, and content created by Setup101, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our intellectual property without our express written permission.

9.2 Trademarks

"Setup101" and our logos are trademarks of Setup101. You may not use our trademarks without our prior written consent.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant us the right to use such feedback without restriction or compensation.

10. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose
Violate any applicable laws or regulations
Infringe on the rights of others
Post false, misleading, or deceptive content
Harass, abuse, or harm other users
Attempt to gain unauthorized access to the Platform or other accounts
Interfere with the proper functioning of the Platform
Use automated means to access the Platform without permission
Circumvent any access controls or usage limits
Create multiple accounts to abuse features or evade bans
Engage in fraud, money laundering, or other financial crimes
Manipulate engagement metrics or platform statistics

11. Disclaimers

11.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results

We do not guarantee:

That the Platform will meet your requirements
That the Platform will be uninterrupted, timely, secure, or error-free
That any results obtained from the Platform will be accurate or reliable
That any errors will be corrected
Any specific results from Creator-Sponsor transactions

11.3 Third-Party Services

The Platform may contain links to or integrations with third-party services. We do not control and are not responsible for third-party services, content, or practices.

11.4 User Content Disclaimer

We do not endorse, verify, or guarantee the accuracy of any user content. You acknowledge that you may be exposed to content that is inaccurate, offensive, or otherwise objectionable.

12. Limitation of Liability

12.1 Limitation on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SETUP101 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, use, goodwill, or other intangible losses
Damages resulting from your access to or use of (or inability to access or use) the Platform
Damages resulting from any conduct or content of any third party on the Platform
Damages resulting from unauthorized access, use, or alteration of your content or data
Damages arising from disputes between Creators and Sponsors
Any amounts exceeding the fees you paid to Setup101 in the twelve (12) months preceding the claim

12.2 Basis of the Bargain

You acknowledge that the limitations of liability in this section are essential elements of the agreement between you and Setup101, without which Setup101 would not provide the Platform.

12.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Setup101 and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your access to or use of the Platform
Your Content or other content you submit
Your violation of these Terms
Your violation of any third-party rights
Any dispute between you and another user
Any transactions with other users through the Platform

14. Termination

14.1 Termination by You

You may terminate your account at any time by following the instructions in your account settings. Upon termination:

Your access to the Platform will be revoked
Any pending payouts will be processed according to our standard schedule
Your content may remain on the Platform where it has been shared or used by others
Certain provisions of these Terms will survive termination

14.2 Termination by Setup101

We may suspend or terminate your account at any time, with or without cause, with or without notice, including if we believe:

You have violated these Terms or our policies
Your account has been inactive for an extended period
Your conduct may harm Setup101, other users, or third parties
Termination is required by law

14.3 Effect of Termination

Upon termination:

Your license to use the Platform is immediately revoked
You remain liable for any obligations incurred before termination
Sections of these Terms that by their nature should survive will survive

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of:

Ireland, for users outside the United States
The State of Delaware, United States, for users in the United States

15.2 Dispute Resolution

For disputes with Setup101: you agree to attempt to resolve any dispute informally by contacting us at legal@setup101.io. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution.

15.3 Arbitration Agreement (United States Users)

FOR USERS IN THE UNITED STATES: YOU AND SETUP101 AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT.

You and Setup101 agree to waive the right to a jury trial and the right to participate in a class action.

Arbitration will be administered by JAMS under its Streamlined Arbitration Rules. The arbitrator's decision will be final and binding.

Exceptions to Arbitration:

Claims in small claims court
Injunctive relief for intellectual property violations
Claims that cannot be arbitrated under applicable law

15.4 Class Action Waiver

YOU AND SETUP101 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Changes to These Terms

We may modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. When we make material changes:

We will post the updated Terms on the Platform
We will update the "Last Updated" date
We will notify you by email and/or through a prominent notice in the Platform
For significant changes, we will provide at least 30 days' notice before changes take effect

16.1 Your Options When Terms Change

If you agree to the updated Terms: You may continue using the Platform as normal. Your continued use after the effective date constitutes acceptance.

If you do not agree to the updated Terms: You must stop using the Platform before the changes take effect. You may:

Delete your account through your account settings
Request account deletion by contacting support@setup101.io
Export your data before deletion (where applicable)

We will process any pending payouts owed to you in accordance with our standard payout schedule, even after account deletion.

16.2 Continued Use Constitutes Acceptance

YOUR CONTINUED ACCESS TO OR USE OF THE PLATFORM AFTER THE EFFECTIVE DATE OF ANY CHANGES CONSTITUTES YOUR BINDING ACCEPTANCE OF THE UPDATED TERMS. If you do not agree to the updated Terms, your sole remedy is to discontinue use of the Platform and delete your account.

We are not able to offer individualized terms or maintain previous versions of our Terms for specific users.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Setup101 regarding the Platform.

17.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 No Third-Party Beneficiaries

These Terms do not confer any rights on any third party.

17.6 Headings

Section headings are for convenience only and do not affect interpretation.

17.7 Force Majeure

Setup101 will not be liable for any failure or delay caused by circumstances beyond our reasonable control.
